TERMS OF SERVICE

 

These Terms of Service (the “TOS”) apply to your use of the website and govern your rights and responsibilities in connection with such use. The term “Site” and the media content on the Site, www.findingfootage.com and all of the services provided on or through this website, together referred to as (the “Site Services”). Your use of the Site signifies your agreement to be bound by these TOS, and the website Privacy Policy (the “Privacy Policy”) and, which is hereby incorporated by this reference into these TOS. These TOS are a binding legal agreement between you and www.findingfootage.com.

PLEASE READ THESE TERMS CAREFULLY BEFORE YOU USE THE SITE. DO NOT USE THE SITE IF YOU DO NOT AGREE WITH ANY OF THE TERMS CONTAINED HEREIN.

You acknowledge, understand and agree that you are using www.findingfootage.com on your own initiative and at your own risk and that it is your responsibility (and not the responsibility of www.findingfootage.com) to make sure that your use of the Site complies with all applicable local laws.

1. DESCRIPTION OF SERVICES:

1.1 Finding Footage is a platform which is designed to help you productive your royalty free video searching. It caters to the high demand of searching royalty free footage along with making it possible to easily search, browse or display clips from multiple agencies and footage marketplace.

1.2 Finding Footage is giving access to multiply other websites in order to search for videos. The videos are not located on Finding Footage; the users use Finding Footage in order to search several websites widely at one place.

1.3 Finding footage is a platform where all media, videos, clips (together referred to as “media content”) from different websites are merged at one place.

1.4 Finding footage is neither a seller nor a buyer of any services. It is just providing the user, a reference to other websites.

2. FEATURES:

2.1 Finding Footage provides two unique features:

a) Found boxes and collections: These act as Favorites. These give users a fast access to the highest rated found boxes and greatest clips in order to search for collected clips which save user’s time.

b) Social networking options: This feature is for log-in users where you can add friends and communicate with them through the message box.

3. ELIGIBILITY:

You represent and warrant that you are at least 18 years of age. If you are under age 18, you may not, under any circumstances or for any reason, use the Services. This website is not intended for users under the age of 18. Nobody under 18 may use any part of the Site that requires the submission of personally identifiable information, like email, name etc. Any account that is created by a person under 18 will be terminated. We may, in our sole discretion, refuse to offer the Services to any person or entity and change its eligibility criteria at any time. You are solely responsible for ensuring that these terms and conditions are in compliance with all laws, rules and regulations applicable to you and the right to access the Services is revoked where use of the Services is prohibited or to the extent offering, sale or provision of the Services conflicts with any applicable law, rule or regulation. Further, the Services are offered only for your use, and not for the use or benefit of any third party.

4. ACCESSING THE SERVICE:

4.1 Account Eligibility: You may establish an Account only if: (i) You are a “natural person” and eligible as provided in section 3 of these terms of use and (ii) You are not an individual specifically prohibited by us from using the Service. By accepting this Agreement, you hereby represent and warrant that you meet these eligibility requirements. If at any time we become aware that you have registered an Account without meeting the foregoing requirements, we reserve the right to suspend, terminate and/or delete the Account.

4.2 Establishing an Account: When creating or updating an Account on the Service, you are required to provide us with certain personal information such as your username and password etc. You agree that you will supply accurate and complete information to us when requested, and that you will update that information promptly after it changes.

4.3 Once you register with us, you become a member of our website. Registering an account on our website is free.

4.4 Username and Password: During the Account creation process, you may be required to select a unique username and/or a password (collectively referred to hereunder as “Login Information”), and you may not share the Account or the Login Information with anyone other than as expressly set forth herein. You are responsible for maintaining the confidentiality of the Login Information, and you will be responsible for all uses of the Login Information, including use of the website, whether or not authorized by you. 5. PROHIBITED CONDUCT:

5.1 You agree that you will not:

a) Engage in any activity that interferes with or disrupts the Website, the Services or the servers and networks which are connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services;

b) Use the Services for any fraudulent or illegal purpose, or to gather personally identifiable information without prior consent;

c) Forge headers, manipulate identifiers, or engage in any other conduct to disguise the origin of any media Content or alter any media Content;

d) Upload, post, email, transmit or otherwise make available any media Content that infringes any patent, trademark, trade secret, copyright or other proprietary right of any party;

e) Upload, post, email, transmit or otherwise make available any media Content that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware, or any telecommunications equipment;

f) Upload, post, email, transmit or otherwise make available any commercial media Content; or

g) Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, during registration or otherwise.

6. MONITORING:

We do not guarantee that any media Content will be made available on the Site or through the Services. We reserve the right to, but do not have any obligation to, (i) remove, edit, modify or otherwise manipulate any media Content in our sole discretion, at any time, without notice to you and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such media Content or if we are concerned that you may have violated these terms and conditions), or for no reason at all and (ii) to remove or block any media Content from the Services.

7. INTELLECTUAL PROPERTY:

You understand that all information or material accessible as part of, or through, the Services or the Website (the “media Content”) is the sole responsibility of the person from which such information or material originated. All Content, including but not limited to advertisements, posts, blogs, messages, and third-party links on the Website, may be protected by intellectual property rights which are owned by the provider of the Content (or by other persons or entities). You may not modify, rent, lease, loan, sell, distribute, copy, or create derivative works based on this Content (either in whole or in part) unless you have been given written permission by the owners of that Content. You acknowledge and agree that: (i) Finding Footage (or its licensors) owns all legal right, title and interest in and to the Services and to the Content created by Finding Footage, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights might exist); and (ii) that Finding Footage is in no way responsible for, nor shall have any liability related to, any Content which is not created by Finding Footage. The trademarks, service marks, and trade names appearing on the Website are the common law or registered trademarks of Finding Footage, its licensors, or others. No trademark, service mark, or trade name may be used without the express written permission of the owner.

8. CONTRIBUTIONS:

8.1 By submitting ideas, suggestions, reviews, documents, and/or proposals (“Contributions”) to Finding Footage, you acknowledge, represent, and agree that:

a) Your Contributions do not contain confidential or proprietary information;

b) Finding Footage is not under any obligation of confidentiality, express or implied, with respect to the Contributions;

c) Finding Footage shall be entitled to use or disclose such Contributions for any purpose;

d) Finding Footage may have something similar to the Contributions already under consideration or in development;

e) Your Contributions automatically become the property of Finding Footage without any obligation of Finding Footage to you; and

f) You are not entitled to any compensation or reimbursement of any kind from Finding Footage under any circumstances.

9. RESPONSIBILITY OF WEBSITE VISITORS/ USERS:

We have not reviewed, and cannot review, all of the material, including computer software, available on the Website, and cannot therefore be responsible for that material’s content, use or effects. By operating the Website, we do not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Your Facebook/Twitter account is subject to separate terms and conditions provided by Facebook/Twitter. Note that if you have a Facebook/Twitter account, your Facebook/Twitter friends will be able to associate your screen name with your real name on the Service when they use the Facebook/Twitter friends feature.

11. RESTRICTIONS AND CONDITIONS OF USE:

11.1 No Violation of Laws: You agree that you will not, in connection with your use of the Service, violate any applicable law or regulation.

11.2 Misuse of Service: You may not connect to or use the Service in any way not expressly permitted by this Agreement. Without limiting the foregoing, you agree that you will not (a) institute, assist, or become involved in any type of attack, including without limitation denial of service attacks, upon the Service or otherwise attempt to disrupt the Service or any other person’s use of the Service; or (b) attempt to gain unauthorized access to the Service, Accounts registered to other members, or the computer systems or networks connected to the Service.

11.3 No Data Mining: You agree that you will not (a) obtain or attempt to obtain any information from the Service using any method not expressly permitted by us; (b) intercept, examine or otherwise observe any proprietary communications protocol used by the Service, whether through the use of a network analyzer, packet sniffer or other device; (c) use any third-party software to collect information from or through the Service, including without limitation information about your character, any Account registered to you, virtual items or other members.

11.4 Collection of Non-Personal Data: We shall have the right to obtain data that cannot be used to identify you from your connection to the Service without any further notice to you.

11.5 Disclosure: WE ALSO RESERVE THE RIGHT, AT ALL TIMES AND IN OUR SOLE DISCRETION, TO DISCLOSE ANY USER CONTRIBUTION AND OTHER INFORMATION (INCLUDING WITHOUT LIMITATION CHAT TEXT, IP ADDRESSES, AND YOUR PERSONAL INFORMATION) FOR ANY REASON, including without limitation (a) to satisfy any applicable law, regulation, legal process or governmental request; (b) to enforce the terms of this Agreement or any other policy; (c) to protect our legal rights and remedies; (d) to protect the health or safety of anyone we believe may be threatened; or (e) to report a crime or other offensive behavior.

12. UPDATES:

We will update this Agreement as the Service and law evolve with new versions (each a “New TOU”). This Agreement will terminate immediately upon the introduction of a New TOU, and you will be given an opportunity to review and accept the New TOU. If you accept the New TOU, and if the Account registered to you remains in good standing, you will be able to continue using the Account subject to the terms of the New TOU. If you decline to accept the New TOU, or if you cannot comply with the terms of the New TOU for any reason, you will no longer be permitted to use the Account. We may change, modify, suspend, or discontinue any aspect of the Service at any time. We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability. You have no interest, monetary or otherwise, in any feature or content contained in the Service or associated with the Account. We may also revise other policies, including without limitation the Privacy Policy, at any time, and the new versions will be available on our website. If at any point you do not agree to any portion of this Agreement, a New TOU, the Privacy Policy, or any other policy or agreement relating to your use of the Service, you must immediately stop using the Service.

13. WARRANTY DISCLAIMER:

13.1 We have no special relationship with or fiduciary duty to you. You acknowledge that we have no duty to take any action regarding:

a) which users gain access to the Services;

b) what media Content you access via the Services; or

c) how you may interpret or use the media Content.

13.2 You release us from all liability for you having acquired or not acquired media Content through the Services. We make no representations concerning any media Content accessed through the Services, and we will not be responsible or liable for the accuracy, copyright compliance, or legality of material or media Content contained in or accessed through the Services.

13.3 THE SERVICES AND MEDIA CONTENT ARE PROVIDED “AS IS”, “AS AVAILABLE” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. WE, AND OUR DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS AND CONTENT PROVIDERS DO NOT WARRANT THAT: (I) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (III) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

14. LINKS:

The Services may include hyperlinks to other web sites or resources. Finding Footage may have no control over any such web sites or resources. You acknowledge and agree that Finding Footage is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other materials on or available from such web sites or resources. You acknowledge and agree that Finding Footage is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy, or existence of any advertising, products or other materials on, or available from, such web sites or resources.

15. TERMINATION:

The Terms will continue to apply until terminated by either you or Finding Footage. If you want to terminate your legal agreement with Finding Footage, you may do so by ceasing your use of all Services. Finding Footage may terminate its legal agreement with you at any time, in its sole discretion, and with or without notice, including if: (i) you have breached any provision of the Terms; (ii) the Services are modified, eliminated, or no longer commercially viable.

16. DISPUTES WITH THIRD PARTIES:

If there is a dispute between Website users, or between a user and any third party, you understand and agree that Finding Footage is under no obligation to become involved. In the event that you have a dispute with one or more other participants or third parties, you release Finding Footage, its officers, employees, agents, representatives and successors from any claims, demands and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes.

17. INDEMNITY:

You agree to indemnify and hold Finding Footage harmless from any claim or demand, including reasonable attorneys’ fees and costs, made by any third party due to or arising out of media Content you use, access, download etc made available through the Services, your use of the Services, your connection to the Website or Services, your violation of the Terms, or your violation of any rights of another. You also agree to indemnify and hold Finding Footage harmless from any liability or damages resulting from the use of media Content provided through the Services or on the Website, regardless of whether such information was provided by Finding Footage or a third party.

18. LIMITATION OF LIABILITY:

18.1 You expressly understand and agree that Finding Footage, its principals, its affiliates, and its licensors shall not be liable to you for:

a) any direct, indirect, incidental, special, consequential, or exemplary damages which may be incurred by you, however caused and under any theory of liability. This shall include, but not be limited to, any loss of profit (whether incurred directly or indirectly), any loss of good will or business reputation, any loss of data suffered, cost of procurement of substitute goods or services, or other intangible loss; or

b) any loss or damage which may be incurred by you, including but not limited to loss or damage as a result of: (i) any reliance placed by you on the completeness, accuracy or existence of any media Content, or as a result of any relationship or transaction between you and any third party; (ii) any change which Finding Footage may make to the Services, or for any permanent or temporary cessation in the provision of the Services (or any features within the Services); (iii) the deletion of, corruption of, or failure to store, any media Content; or (iv) your failure to keep your password or account details secure and confidential. The limitations on Finding Footage’s liability to you shall apply whether or not Finding Footage has been advised of or should have been aware of the possibility of any such losses arising.

c) Some jurisdictions do not allow the exclusion of certain warranties or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages. Accordingly, only the limitations which are lawful in your jurisdiction will apply to you and our liability will be limited to the maximum extent permitted by law.

19. GOVERNING LAW AND JURISDICTION:

These terms of use shall be governed by and construed in accordance with the laws of Israel. You agree that any dispute arising from or relating to the subject matter of this User Agreement shall be governed by the exclusive jurisdiction and venue of the courts of TLV Israel.

20. ARBITRATION:

20.1 Except as may otherwise be provided below or in a signed agreement between you and this website, the sole and exclusive forum and remedy for any and all disputes and claims relating in any way to or arising out of this agreement or your access of the website or services shall be final and binding arbitration, except that: (a) to the extent that either of You or this website has in any manner infringed upon or violated or threatened to infringe upon or violate the other party’s patent, copyright, trademark or trade secret rights, or you have otherwise violated the code set forth above, then you and this website acknowledge that arbitration is not an adequate remedy at law and that injunctive or other appropriate relief may be sought; and (b) no disputes or claims relating to any transactions you enter into with a third party through the website may be arbitrated.

20.2 The location of the arbitration shall be in TLV Israel and the allocation of costs and fees for such arbitration shall be determined in accordance with the applicable Rules and shall be subject to the applicable limitations. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

21. PRIVACY:

21.1 We work hard to protect our users from unauthorized access to or unauthorized alteration, disclosure or destruction of information we hold however no website is entirely secure. You should protect the account information in your possession as well.

21.2 Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of user information at any time. Thus we cannot guarantee security completely. 22. GENERAL:

22.1 Assignment: We may assign this Agreement, in whole or in part, to any person or entity at any time with or without your consent. You may not assign these TOU without our prior written consent, and any unauthorized assignment by you shall be null and void.

22.2 Foreign jurisdiction: Our services are available globally. By agreeing to our terms of use, you warrant that it is completely legal to use our services and website in your country. It is the duty of the user to verify any potential violation. The user agrees to indemnify us, associated or sister companies, employees, agents or any related individual or organization for any liability it might incur in a foreign jurisdiction. Our services shall not be deemed to constitute an offer to sell or serve in countries where it is illegal to do so.

22.3 Severability: If any part of this Agreement is determined to be invalid or unenforceable, then that portion shall be severed, and the remainder of this Agreement shall be given full force and effect.

22.4 Attorneys’ Fees: In the event any litigation is brought by either party in connection with these TOU, the prevailing party in such litigation shall be entitled to recover from the other party all the reasonable costs, attorneys’ fees and other expenses incurred by such prevailing party in the litigation.

22.5 No Waiver: Our failure to enforce any provision of this Agreement shall in no way be construed to be a present or future waiver of such provision, nor in any way affect the right of any party to enforce each and every such provision thereafter. The express waiver by us of any provision, condition or requirement of this Agreement shall not constitute a waiver of any future obligation to comply with such provision, condition or requirement.

22.6 Notices: All notices given by you or required under this Agreement shall be in writing and addressed to: FindingFootage@gmail.com

22.7 Equitable Remedies: You hereby agree that we would be irreparably damaged if the terms of this Agreement were not specifically enforced, and therefore you agree that we shall be entitled, without bond, other security, or proof of damages, to appropriate equitable remedies with respect to breaches of these TOS, in addition to such other remedies as we may otherwise have available to it under applicable laws.

22.8 Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.

 

23. ENTIRE AGREEMENT:

This Agreement, including the documents expressly incorporated by reference herein, constitutes the entire agreement between you and us with respect to the Service and supersedes all prior or contemporaneous communications, whether electronic, oral or written, between you and us with respect to the Services. You acknowledge and agree that: (a) you have read and understood the Terms; (b) the Terms are fair, reasonable, and not unduly restrictive; and (c) you have had the opportunity to confer with legal counsel of your choice prior to agreeing to the Terms.
